Terms of Service
Provider: Signal Technologies, Inc. ("Signal Technologies", "we", "us", "our")
Effective Date: January 1, 2025
These Terms of Service ("Terms") govern your access to and use of Signal Technologies' internet access and related services (collectively, the "Service"). By subscribing to, activating, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1) Eligibility & Account
- You must be legally able to enter into a binding agreement and, where applicable, be authorized to act for your organization.
- You are responsible for the accuracy of information provided during signup and for keeping your account details secure.
2) Service Provision & Availability
- We provide broadband internet access and related services subject to coverage, equipment, and network conditions.
- Speeds, latency, and uptime may vary due to factors including location, weather, power conditions, contention, and third‑party dependencies.
- We may maintain, modify, upgrade, or discontinue parts of the Service with reasonable notice where practical.
3) Acceptable Use
You agree not to misuse the Service. Prohibited activities include, without limitation:
- Violating applicable laws or regulations.
- Interfering with network integrity or other users (e.g., DDoS, unauthorized access, malware distribution).
- Reselling, sharing, or redistributing the Service outside your premises without our written consent.
- Sending spam or conducting abusive, harassing, or fraudulent activity.
- Infringing intellectual property or privacy rights.
4) Installation, Equipment & Access
- Customer‑premises equipment (CPE), routers, and accessories may be purchased or leased as specified in your order.
- You are responsible for reasonable care, security, and power for installed equipment. Leased equipment remains our property and must be returned in good condition upon termination; replacement or non‑return fees may apply.
- You authorize our technicians safe access to your premises for survey, installation, maintenance, and recovery of equipment.
5) Billing, Due Dates & Reactivation
- Billing Cycle: Subscriptions are billed monthly in advance. Payments are due on or before the 5th of every month.
- Suspension: Accounts not paid by the due date may be suspended until full payment is received.
- Reactivation Fee: Effective January 1, 2025, a US$25 reactivation fee per terminal applies to restore suspended Service due to nonpayment.
- Fees, taxes, and charges may change with prior notice posted on our website or communicated via your registered contact details.
- Invoices are deemed received when sent to your registered email or customer portal.
6) Credits, Refunds & Service Levels
- Unless required by law, fees are non‑refundable. Any goodwill credits are at our discretion and do not waive future enforcement.
- We aim for reliable service and minimize downtime through maintenance windows, typically scheduled during off‑peak hours with notice when possible.
7) Privacy & Data
- Your information is handled per our Privacy Policy. We do not sell personal data.
- We may process network telemetry (e.g., usage, performance, and security logs) to operate, secure, and improve the Service and to comply with legal obligations.
8) Third‑Party Services
The Service may interoperate with third‑party satellites, fiber backhaul, power systems, or platforms. We are not responsible for third‑party content or failures outside our reasonable control.
9) Intellectual Property
All trademarks, logos, documentation, and software provided by Signal Technologies remain our or our licensors’ property. You receive a non‑exclusive, non‑transferable right to use supplied software or portals solely to access the Service.
10) Disclaimers
- The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non‑infringement.
- No verbal or written advice creates a warranty not expressly stated in these Terms.
11) Limitation of Liability
- To the maximum extent permitted by law, Signal Technologies is not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, data, or business interruption.
- Our total aggregate liability for any claim relating to the Service is limited to the fees you paid for the affected Service during the three (3) months immediately preceding the event giving rise to the claim.
12) Indemnification
You agree to indemnify and hold Signal Technologies harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or violation of these Terms.
13) Suspension & Termination
- We may suspend or terminate Service for nonpayment, abuse, security risk, legal request, or breach of these Terms.
- Upon termination, you must pay all amounts due and promptly return any leased equipment.
14) Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on our website or communicated via your registered contact details. Continued use of the Service after changes constitutes acceptance.
15) Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Liberia. Disputes shall be resolved by the competent courts in Liberia unless a different forum is required by mandatory law.
